1. Definitions and Terms

1.1. Within this Public Offer Agreement for the provision of legal services, the following definitions shall apply:

  • «”Public Offer / Offer” – a proposal made by the Service Provider to any individual or legal entity to enter into a fee-based Agreement for the provision of legal services (hereinafter the “Agreement”) on the terms and conditions set forth herein, including all annexes hereto.
  • “Acceptance” – full and unconditional consent by the Customer to the terms of this Agreement.
  • “Service Provider” – LLC Georgia Assistant, registered legal address: Tbilisi, Police Line 1, Building 5, Apt. N4a, identification code: 406528556, providing legal services.
  • “Customer” – any individual or legal entity that has responded to the Offer and executed its Acceptance.
  • “Party / Parties” – the Customer and the Service Provider, individually or collectively, respectively.

2. General Provisions

2.1. This document constitutes an official proposal (Public Offer) of LLC Georgia Assistant (hereinafter the “Service Provider”) and contains all essential terms of the provision of legal services, the list of which is available on the Service Provider’s official website: https://georgia-assistant.ge/en/prices/.

2.2. Pursuant to Article 365 of the Civil Code of Georgia, full acceptance of the terms of this Offer and payment for legal services shall constitute the Customer’s acceptance and entry into this Agreement.

2.3. In accordance with Article 369 of the Civil Code of Georgia, the Acceptance of this Offer shall be considered equivalent to entering into a legally binding Agreement on the terms set forth herein.

ATTENTION: Please read this Public Offer carefully. If you do not agree with any provision of this Offer, the Service Provider recommends that you refrain from using the legal services.

3. Subject of the Agreement

3.1. The subject of this Agreement is the provision of legal services by the Service Provider in accordance with the Customer’s technical assignment (hereinafter the “Request”) and the Customer’s obligation to provide complete and accurate data and pay for the services in full.

3.2. The composition and scope of legal services under this Agreement shall be specified in the relevant Request.

3.3. Methods of Acceptance.
Pursuant to Articles 329 and 330 of the Civil Code of Georgia, the Customer may execute Acceptance by means of the following:

  • non-cash payment by bank card;
  • payment by invoice from a legal entity account to the Service Provider’s account;
  • cash payment to the Service Provider’s cashier.

3.4. Upon performing any of the above actions, the Customer shall be considered to have accepted this Public Offer.

4. Fees, Terms and Payment Procedure

4.1. Payments hereunder shall be made by the Customer in the form specified in Clause 3.1.

4.2. The Customer shall pay 100% of the service cost at the time of Acceptance.

4.3. Service fees are defined by the price list available at: https://georgia-assistant.ge/en/prices/.

4.4. Following payment and confirmation of funds received, this Agreement becomes effective.

4.5. Government fees are not included in the service cost and shall be paid by the Customer independently.

4.6. If the Customer withdraws from the Agreement before the Service Provider begins performance, the Customer shall be refunded the amount paid, provided that a written withdrawal notice is submitted indicating full contact details.

5. Rights and Obligations of the Parties

5.1. The Service Provider shall prepare and coordinate the required documentation as per the Request.

5.2. The Customer shall provide complete information, documents, and notarized materials as needed.

5.3. The Service Provider shall not be liable for the actions of notaries or third parties.

5.4. The Customer may submit corrections to draft documents in editing mode prior to approval.

5.5. If the Customer insists on wording that results in state registration refusal, liability rests solely with the Customer.

5.6. If the Service Provider delays performance for more than 30 business days, the Customer may terminate the Agreement and claim a refund.

5.7. The Service Provider may terminate the Agreement with a full refund.

5.8. If the Customer fails to provide required information within 5 calendar days, any received payment is retained as payment for partially rendered services and penalties for non-cooperation.

6. Term of the Agreement

6.1. This Agreement enters into force upon Acceptance and remains valid until:

a) the Service Provider fully performs the obligations corresponding to the amount paid by the Customer; or

b) termination of the Agreement.

6.2. The Service Provider reserves the right to amend or revoke the Offer unilaterally. Amendments shall take effect upon publication and shall not apply to previously accepted Agreements.

7. Force Majeure

7.1. If circumstances of force majeure arise, the affected Party must notify the other Party within 5 business days.

7.2. Force majeure events include but are not limited to: natural disasters, epidemics, war, military actions, terrorist acts, or other events beyond reasonable control.

7.3. If force majeure persists for more than 30 consecutive days, either Party may terminate the Agreement by written notice.

8. Confidentiality and Data Protection

8.1. The Service Provider shall not disclose Customer information except where required for service delivery.

8.2. By providing personal data, the Customer consents to its processing in accordance with the Law of Georgia on Personal Data Protection and the requirements of the Personal Data Protection Service of Georgia.

8.3. Processing may include collection, storage, use, transfer to third parties when required for service performance, and other lawful actions.

8.4. Consent is indefinite but may be withdrawn by written notice to the Service Provider.

9. Liability of the Parties

9.1. The Service Provider is not liable for:

  • accuracy of Customer-provided information;
  • authenticity and compliance of Customer documents;
  • decisions of state authorities;
  • actions of notaries;
  • delays or failures caused by Customer’s non-performance;
  • changes in Georgian legislation affecting document relevance;
  • errors in the Unified State Register caused by state authorities.

9.2. The Service Provider’s total liability is limited to the amount paid by the Customer.

9.3. The Customer bears responsibility for document integrity and accuracy.

10. Dispute Resolution

10.1. Disputes shall be resolved through negotiations and a mandatory pre-trial claim procedure.

10.2. If resolution is not reached, disputes shall be submitted to the court at the location of the Service Provider.

11. Final Provisions

11.1. Matters not regulated herein are governed by the legislation of Georgia.

11.2. Notices may be sent by email or postal service with delivery confirmation.

11.3. In case of conflict between this Agreement and its annexes, the provisions of this Agreement prevail.
