Registering as an individual entrepreneur (IE) in Georgia is relatively straightforward, but what should you do if you decide to stop trading? Moving to another country, changing your business focus, or making no actual profit are common reasons for entrepreneurs to close their IE registration. However, simply stopping the use of your accounts is not enough. At the very least, you may face penalties from the Revenue Service (rs.ge) for failing to submit monthly reports.
Closing an IE registration in Georgia is not necessarily a quick or convenient process unless you understand exactly how it works. The procedure requires strict compliance with legal and tax regulations.
Georgia Assistant provides professional assistance with the closure of individual entrepreneur registrations in Georgia. We support you at every stage, from preparing documents to deregistering with the tax authorities and submitting the final tax return. We handle the procedure remotely under a power of attorney, without requiring the client to attend in person.
Why It Is Important to Officially Close Your IE Registration
Some individual entrepreneurs who decide to cease operations in Georgia or change their legal status simply stop operating as an IE or empty their bank accounts. This is not only insufficient but also creates legal risks.
Georgian law strictly regulates the status of individual entrepreneurs, and you cannot close an IE registration without following the official procedure. Leaving the registration dormant can have serious consequences:
- Monthly penalties for failure to file returns. IE status, particularly with Small Business Status, requires the taxpayer to submit a tax return every month by the 15th. The Revenue Service automatically imposes penalties for each month missed. Even a missed nil return triggers an automatic fixed penalty (averaging around 100 GEL for each missed month).
- Accumulation of hidden debts and late-payment charges. IE status entails an obligation to pay taxes and duties. Even if you conduct no transactions, a small outstanding amount or unpaid minimum tax can grow into a substantial debt because late-payment charges accrue daily.
- Freezing of personal accounts. If you fail to pay taxes and penalties, the Georgian tax authorities can freeze your personal accounts at Georgian banks (TBC, Bank of Georgia) to recover the debt. Banks also conduct AML checks and may block your accounts if they discover that an officially registered IE is inactive and does not file returns, even if the business is not actually operating.
- Problems at the border and with residence permits. Debts to the state may lead to refusal to extend a residence permit or cause difficulties at passport control when entering or leaving Georgia.
- Three-year tax audit period. The tax statute of limitations in Georgia is three years. This means the tax authorities may review your IE activities and assess additional penalties several years after you have left the country.
The principal consequence of leaving an IE registration open in Georgia is that it may prevent you from starting a new business or obtaining the status you need in the future. While your previous IE remains registered and has outstanding debts, the system will not allow you to register a new IE or LLC in Georgia.
How to Close an IE Registration in Georgia: The Stages
The procedure for closing an IE registration in Georgia broadly comprises two main stages: legal deregistration and final settlement of all tax obligations.
First, you need to deal with registration at the House of Justice (SDA), and then deregister with the Georgian Revenue Service. This is where some entrepreneurs make a mistake: they assume that the procedure ends after their visit to the House of Justice. In reality, the tax record remains open. While it is active, the Revenue Service continues to treat you as an operating entrepreneur.
Stages of closing an IE registration in Georgia:
- Submitting an application to the House of Justice. An active individual entrepreneur must contact the National Agency of Public Registry or any branch of the House of Justice and submit a formal application to cease operations. The applicant must pay the government fee immediately. The authorities will accept the application for processing and change the registration status to “under liquidation.”
- Submitting the final tax return to the Revenue Service. Once you have filed the application, you have a limited period in which to settle your tax obligations. You must submit a final (liquidation) return through your account at rs.ge. Even if you enjoyed tax relief, such as Small Business Status with a tax rate of just 1%, you must still submit the final return.
- Verification and formal deregistration. The tax authorities check for outstanding liabilities, penalties, or unused cash registers. If there are no debts, the Revenue Service forwards the information to the Registry, and the individual entrepreneur registration is formally cancelled.
Can You Close an IE Registration in Georgia Remotely?
Yes. Georgian law expressly allows the procedure to be completed without your personal attendance. You do not need to fly to Tbilisi or Batumi. You only need to issue a notarized power of attorney to a lawyer or representative in Georgia, who will visit the relevant government offices, complete the paperwork, submit it to the House of Justice, and oversee the filing of the final tax return on your behalf.
How Do We Work?
Georgia Assistant provides IE closure services without requiring your involvement in the administrative process. You do not have to navigate the details of Georgian law or deal with the rs.ge portal yourself. With our help, business closure consists of clear steps and takes no more than five days.
- Collecting documents and preparing a template. You submit a request and send us a clear photograph or scan of the international passport used to register your IE. We prepare legally appropriate wording for the power of attorney in Georgian and Russian and send you the template.
- Issuing the power of attorney. You print the template, have it notarized in your current country of residence, and send the original to our office in Tbilisi by courier (for example, DHL, CDEK, or Pony Express).
- Notarized translation and government fees. Once we receive the original, our specialists arrange a notarized Georgian translation of the power of attorney and pay all government fees required for closure.
- Filing the application and deregistering with the Registry. Acting under the power of attorney, our lawyer visits the House of Justice and files the official application to close the IE registration. The status change in the registry takes one to two business days.
- Tax review and final return. Our accountant accesses your online tax account, checks for any undisclosed outstanding amounts, and submits the final liquidation tax return.
- Receiving the documents. You receive confirmation that your IE registration has been closed and that you have been deregistered for tax purposes. If necessary, we can also help close your bank account.
After five days, we send you an official electronic extract from the Georgian Public Registry showing your updated status: your IE registration has been formally cancelled, and your tax account deactivated.
Tax Obligations: What You Need to Do Before Applying
Before initiating the closure of your IE registration, you should ask yourself what needs to be done before submitting the application and whether your business is ready to close. The tax authorities will not close your tax record if you have outstanding obligations to the state budget.
Before starting the IE closure procedure, you need to review and prepare your profile with the Revenue Service:
- File missing returns. If you were inactive for a period and forgot to file your monthly Small Business returns, you must file them retrospectively. Without a complete filing history, the Registry will suspend the closure procedure.
- Pay outstanding debts and penalties. All current taxes and assessed penalties must be paid before you apply. Even a negligible outstanding balance may cause the Revenue Service to block deregistration.
- Cancel VAT registration. If your IE was registered for VAT, you must submit a separate application to cancel that registration before starting the overall closure process.
- Check the cash register. If you registered a physical electronic cash register (GPRS terminal), it must be formally deregistered with the tax authorities.
What Does Georgia Assistant Offer?
You do not have to handle this yourself. As part of our “Remote IE Closure in Georgia” service, we conduct a rapid audit of your account on the rs.ge portal before documents are submitted. If missing returns or minor debts are discovered, our accountant will contact you and help calculate the amounts, file the returns, and settle the liabilities so that the closure proceeds smoothly and without delays.

Frequently Asked Questions About Closing an IE Registration in Georgia
No. Simply ceasing operations, closing your bank account, and abandoning your IE registration in Georgia will not work. Your taxpayer status will not be automatically cancelled, and substantial penalties and late-payment charges may accumulate without your knowledge. Even if you earn no income, Georgian law requires you to file monthly tax returns and formally close your individual entrepreneur registration.
No. You do not need to return to Georgia or visit the House of Justice in person. The entire business closure procedure can be completed remotely. Simply have a power of attorney notarized in your current country of residence using our template and send the original to Tbilisi by courier. Georgia Assistant will take care of everything else.
It is not mandatory, but we recommend it. Accounts left open after an entrepreneur deregisters create unnecessary administrative work and may incur additional charges. However, this only concerns accounts used to receive business revenue.
After formal closure, your online account on the rs.ge portal will be deactivated. You will retain access, and the history of your returns and payments will remain in the database, but you will no longer be able to submit new returns or issue invoices.
Yes. Closing your IE registration does not restrict your future business activities. You can register as an individual entrepreneur in Georgia again whenever you wish.
